Description
Structure based on 50 equal Shareholders of a Holding Company (Copal Holdings Ltd.)
-Buy in price for the share position is $159,000 USD.
-Copal Holdings Ltd. (CHL) will have the first mortgage on the title to the following units:
1) The Penthouse Unit in the existing Copal 5 story building.
2) The east facing 3 bedroom unit on the 3rd floor of the existing Copal building.
3) The west facing 3 bedroom unit on the 3rd floor of the existing Copal building.
4) The west facing 3 bedroom unit on the 3rd floor of the existing Copal building.
-The aggregate value of the aforementioned mortgages is $8,100,000 USD
1) Penthouse will have a $4.5M mortgage.
2) Each of the 3 -3 bedroom units will have a $1.2M mortgage. ($3.6M total)
-As Shareholders of CHL, each Member of the Copal Developers Club will be the benefactor of all of the following:
1) 1/50th share of the rental income generated by the 4 participating units, listed above. (Subject to offsets based in item #2 below)
2) The option to use the inventory themselves. (Up to 3 weeks per year in a 3 bedroom villa, and one week per year in the Penthouse unit)
3) Appreciation of the base value of the real estate.
-Shareholders will have a 3 year “Recap option” whereby they can have the company resell their share position on their behalf to pull out their original capital.
(CHL will retain any amount over $159,000 that the Shares are sold for, unless the Shareholder sourced their own buyer)
-Financing available, and to be discussed upon request.
